Definition

 

This document displays the Privacy Policy and Terms and Conditions ("Terms") which shall be applicable to all the accounts of any nature (Cash/Wallet or any other product launched by DigiPay from time to time and all applicable features and services offered on the account) which are existing or may be maintained anytime in future with DigiPay. The words, "I", "me", "my", "him", "his", "You" and "Customer" refer to the person(s) who open the account and shall include both singular and plural. Reference to masculine shall include the feminine and third gender. The terms may be accepted by individuals or entities/non individuals such as corporates, partnership firms etc. and the terms within the document need to be construed accordingly irrespective of the usage therein.

 

“Account” refers to the individual DigiPay account.

“Visitor” refers to the people who visit and assess our domain or app to either use its features or to view goods and products in the network.

“Clients” are the people who use DigiPay to purchase certain goods or services through our network.

“Vendor” are the people providing the goods and services.

“Product/Services” are any goods or services that are registered in our domain or app which can be bought through money transaction.

“Load” refers to adding money to the DigiPay wallet via different electronic or physical channels.

“Registration” is the process of creating an account to sign up into DigiPay.

“DigiPay ID” refers to the mobile number used to register/login to the DigiPay network.

“DigiPay website” means our web address www.digipay.cash

“Application” is a mobile or website platform that allows the use of DigiPay services.

“Notification” means notice received by the registered user from DigiPay from time to time.

“Service” is allowing people to pay by using wallet to wallet (W2W) transaction or by cash transaction, and giving both the clients and vendors benefit through loyalty points.

“Terms and Conditions” refers to the terms and conditions listed on this page and all other guidelines that needs to be followed during the use of the DigiPay platform. It also includes the memorandum of understanding that all vendors have agreed to as well as any other agreement made individually with any parties involved.

“Customer” are both the clients and vendors within our network who use our services for buying or selling goods/services.

“DigiPay” is a payment gateway platform that is used by clients and vendors.






Disclosure

 

1.            By registering for or using the site or the network or downloading the app, you agree to be bound by these terms and the various services offered by DigiPay shall be governed by these terms and conditions.

2.            If You do not accept these terms, it is advised for not to use the site or the platform/network or app.

3.            These Terms may be read as a stand-alone document or be read with other such documents as may apply to a particular account/ service/ transaction. The Customer acknowledges and agrees that DigiPay may at its sole discretion add to, modify or amend the Terms (including the Charges) from time to time. The Terms shall be available on DigiPay’s website/app.

4.            DigiPay can modify the terms and conditions without prior notice. The Customer/vendor shall have the right to close the Account or discontinue availing of the services. The Customer agrees that the opening and maintenance of the Account and availing of the Services is subject to the rules and regulations introduced or amended from time to time by the Nepal Rastra Bank.

5.             In the event that any provision of these Terms is held to be in violation of any applicable law or if for any reason a court of competent jurisdiction finds any provision of these Terms or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of these Terms, and the remainder of these Terms shall continue in full force and effect.


Eligible users

The eligibility for the unregistered Customers will be are:

  • The customer must have Individual Sim card which will be taken as the entry ID.
  • The customer must have Individual DigiPay account  
  • The customer must connect the DigiPay account with a bank account
  • The customer must be a Mobile Holder and must have access to internet
  • The Customer will get this service free of cost

  

 The eligibility for the registered customers are:

  • The customer must have Individual Sim card which will be taken as the entry ID.
  • The customer must have Individual DigiPay account.  
  • The customer must connect the DigiPay account with a bank account
  • The customer must be a Mobile Holder and must have access to internet
  • The customer must fill the KYC form
  • The customer will get this service free of cost.



The eligibility for the Regular vendors/sub-vendors are:

  • The vendor must have Individual Sim card which will be taken as the entry ID.
  • The vendor must have Individual DigiPay account  
  • The vendor must connect the DigiPay account with a bank account
  • The vendor must be a Mobile Holder and must have access to internet
  • The vendor must fill the KYC form.
  • The vendor will be eligible only for digital transaction.
  • The vendor will get this service free of cost.

 

The eligibility for the Platinum vendors/sub-vendors are:.

  • The vendor must have Individual Sim card which will be taken as the entry ID.
  • The vendor must have Individual DigiPay account  
  • The vendor must connect the DigiPay account with a bank account
  • The vendor must be a Mobile Holder and must have access to internet
  • The vendor must fill the KYC form.
  • The vendor will be eligible for digital and cash transaction.
  • The vendor must pay Nrs.3000 for this service

 

Conditions for Registration

The Conditions for Registration as Vendor or Customer are:

  1. The unregistered customers and regular vendors will be liable only to wallet to wallet transfer only.
  2. The registered customers and platinum vendors will be liable to wallet to wallet and cash transactions.
  3. The vendors  and customers must fill KYC form as per the need of Nepal Rastra Bank.
  4. The club cash is non-redeemable except for registration deposit amount of Vendors.

 

Security Details

DigiPay updates its security system regularly in accordance to the need of the current cyber security tends. We use a three layer security system currently to make sure that all information within the DigiPay network is secured and cannot be exploited by any malicious parties.

 

Access (Permitted/Restricted)

  • The permission for transaction is given to everyone
  • The access to transaction history is given only to the authorized vendor/client.
  • All parties involved in a transaction are expected to treat it with caution in case of any violation or unethical practice.
  • DigiPay has provided a user friendly platform and secure system however, if any individual or group attempts to exploit its features, DigiPay shall not take any responsibility.   



Club Cash

Club Cash powered by ClubOn, whether in the form of GoldCash OR SilverCash, cannot be redeemed into any monetary form outside of DigiPay. They are used exclusively only in the DigiPay Network as a loyalty point in the form of cashbacks as a benefit to DigiPay users. In addition, Silver Cash can be used for promotional purposes by vendors only. Gold cash can be used in exchange for good and services with complying DigiPay vendors or earned through a DigiPay offer or deal. Club Cash is non transferable unless under the conditions of combo deals or Club Cash offers.

  • Cash can be used and will be accepted exclusively only in the 1st Party’s Network as a loyalty point in the form of cashbacks, discount and offers provided by our 2nd Party’s as a benefit to 1st Party members.
  • DigiPay will issue Club Cash (points) on every commissioned amount made through the transaction via 1st Club On’s network i.e NRs. 1 commission amount= 1 SCC (to vendor) + 1 GCC (to digipay member)
  • Vendors can also receive Gold cash in form of combo deals or through offers and accumulated gold cash can also be used for Ads. & promotions and other services provided in the DigiPay platform in CC mart section.
  • Evaluation of club cash and Nrs should be 1:1, less or more depending on market but DigiPay holds the right to define/review value of club cash when and as necessary  .
  • Vendors holds right change the Ratio of Club Cash issuance to the Vendor or DigiPay member. Related information shall be sent to Vendors through the means of email, sms or apps notification.
  • Club Cash is a loyalty point and not convertible or redeemable into any monetary form outside the network of DigiPay.

 

Advertisement / Deals / Offers

  • DigiPay vendors can use our inhouse media platforms to advertise their place of business, products and services. This service shall advertise their promotional campaign and can be paid for with the use of Silver Cash. There are different rates for the services when paid for using General Cash, hence they can be done even if the Vendor has not procured any Silver Cash. The description of the type of Advertisement and their costs in terms of SC and General Cash are as follows:

 

Banner Ad:

These ads are displayed on the DigiPay website banner and are most likely to be seen by all visitors of the website/app.

 

Featured Ad:

DigiPay features your product/service in a seperate section where they come highly recommended by DigiPay to all its users.



Hot Deals:

These are to be short term, highly appealing promotional campaigns that last only a couple of days to attract customers rapidly.

 

Weekly Deals:

A very attractive offer for DigiPay clients that is present only once a week.

 

Location Based Offers:

This service allows you to send a direct message to customers around their store, if the customers have enabled the location based offer feature on their DigiPay app. Vendors will be able to give customers information about their business and its promotional campaign using direct notification messaging. DigiPay uses the customers spending trend to determine the best people around the business to sent the Location Based Offer to. The cost for these services are based on per person as it may be viewed as SPAM if sent in large numbers.

 

1st Row Listing:

The Vendor’s product/service is displayed on the first row of the various listings of DigiPay offers on the app and website. Placing them here would result in them being more likely to be seen by the various visitors of the app/website.

 

2nd Row Listing:

The Vendor’s product/service is displayed on the second row of the various listings of DigiPay offers on the app and website. Placing them here would result in them being more likely to be seen by the various visitors of the app/website.

 

  • DigiPay Vendors can also provide offers to clients in the DigiPay network to attract them. The types of Offers are as listed below :

 

Discount : A percentage based reduction of the final bill of any product/service.

 

Club Cash Offer : Offering Gold Cash to customers as a bonus for giving the Vendor business.

 

Combo Deal: A way for DigiPay customers to pay for goods/services in the DigiPay   network using a mixture of Gold Cash and General Cash. In such cases, the evaluation of club cash and Nrs should be 1:1, or more, depending on market but DigiPay holds the right to define/review value of club cash as  and when necessary.

 

  • DigiPay reserves the right to change or even stop any ongoing deals, discounts, combo deals or any such offers within our own discretion and without prior notice. As such, we expect our customers to be aware of the fact that the sudden termination of any offer is within the realm of possibility.

 

Application

The web/mobile application is liable to any kind of updates. DigiPay reverse the right to add or remove features without prior notice. App may be updated without user authorization as it may be to rectify application errors or programming inconsistencies.

The data in the account is liable only to the authorized user. The authorized user is liable to privacy of data and DigiPay is not liable to any type misutilization of data by the authorized user.

Transaction information may be used by DigiPay to understand user preferences to suggest products/services through the location based offers and promote member vendors appropriately. In event of any unforeseen event where a third party has unauthorized access of sensitive data, DigiPay shall not be held accountable for the outcomes of such transgression.

 

Refunds and Cancellation

DigiPay is not liable for any circumstance when there is a requirement for cancellation of a pending transaction or a refund is required for a completed one. Customers with such issues need to resolve the issue with the appropriate vendors themselves by communicating with them. Vendors can be contacted through their private vendor profiles or through their customer service facilities.



Settlement Issues

  • The Nepal Rastra Bank requires all digital transaction users to fill out a KYC from in order to use the service.
  • In case of failed midway transaction, our automated system will rollback any locked midway transaction funds within an hour.
  • Any type of complaint must be notified to DigiPay through our contact e-mail. Further, we will notify  








Intellectual Properties

 

The intellectual components i.e photo and email will be not disclosed in any terms except for the following reasons:

  1. If found in any type of participation in any telecommunication or electronic clearing network
  2. In compliance with a legal directive
  3. For fraud prevention purposes
  4. To credit information bureaus

 

Force Majeure:

 

a. DigiPay shall not be liable if any transaction does not fructify or may not be completed or for any failure on part of DigiPay and any other third party services to perform any of its obligations under these Terms, or those applicable specifically to its services/facilities if performance is prevented, hindered or delayed by a Force Majeure event (defined below) and in such case its obligations shall be suspended for so long as the Force Majeure event continues.

 

b. "Force Majeure Event" means any event due to any cause beyond the reasonable control of DigiPay, including without limitations, unavailability of any communication systems, breach, or virus in the processes or payment or delivery mechanism, sabotage, fire, flood, explosion, acts of god, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, unauthorised access to computer data and storage devices, computer crashes, malfunctioning in the computer terminal or the systems getting affected by any malicious, destructive or corrupting code or program, mechanical or technical errors/failures or power shut down, faults or failures in telecommunication etc.

 

Limitations in case of damage

DigiPay is not liable to any kind of damage or any breach of morality and ethics with transaction of offers or products of vendor.

 

Closing of account and Termination

In the following cases, the vendors or customers account will be terminated without prior notice:

  • If Vendors ignore terms of customer satisfaction
  • If Vendors deny any obligated services designated by DigiPay
  • If Customers are involved in any fraud cases or any legality cases  
  • If the customers or vendors get blacklisted by credit information bureau  

 

Miscellaneous

 

  • Vendors agrees to commit a certain percentage of discount or cashback offers for the DigiPay network.
  • Extra charge will be taken for new reset transaction pin of the any account
  • Any type of complaint must be notified to DigiPay through our contact e-mail or postal to physical address.
  • Vendors in the DigiPay network heartily agrees to honor and assist 1st DigiPay users with a genuine hospitality.
  • DigiPay is not liable to any kind of damage or any breach of morality and ethics with transaction of offers or products of the Vendors.
  • DigiPay reserves the right to change, stop any ongoing deals, discounts, combo deals or any such offers within our own discretion.
